Terms of Service

1. Agreement to Terms
By accessing or using Sponsor Complians Hub ("the Platform"), operated by Sponsor Complians Limited ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Service Description
Sponsor Complians Hub is a B2B SaaS platform that assists UK employers holding a Home Office sponsor licence to manage their compliance obligations. The Platform provides tools for worker record management, right-to-work monitoring, reporting duties tracking, document management, and related compliance workflows.
Important: The Platform is a compliance management tool and does not constitute legal advice. You remain solely responsible for your organisation's compliance with the Immigration Rules, the Sponsor Guidance, and all applicable UK law.
3. Subscription and Billing
3.1 Subscription Plans
We offer Starter (£39/worker/month), Professional (£59/worker/month), and Enterprise (£99/worker/month) plans. Pricing is per sponsored worker per month. All prices are exclusive of VAT.
3.2 Minimum Contract Term
All subscriptions are subject to a 24-month minimum contract term. You may cancel within the first 30 days of your subscription start date for a full refund. After the 30-day cancellation window, the subscription continues for the remainder of the 24-month term.
3.3 Founding Member Programme
Founding members pay a refundable deposit (Platinum: £5,000; Gold: £1,000) credited to their first invoice. Founding members receive a locked rate of £29/worker/month. Platinum rate is locked for life; Gold rate is locked for 12 months from platform launch. Deposits are fully refundable if the platform does not launch by 1 July 2026.
3.4 Payment
Payments are processed by Stripe. By providing payment details, you authorise us to charge your payment method on a recurring basis. Failed payments may result in service suspension after a 7-day grace period.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of UK law
- Upload false, misleading, or fraudulent worker records
- Attempt to circumvent security measures or access controls
- Reverse engineer, decompile, or extract the Platform's source code
- Resell or sublicense access to the Platform without our written consent
- Use the Platform to store data unrelated to sponsor licence compliance
5. Data and Privacy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. You remain the data controller for worker personal data stored on the Platform; we act as your data processor.
Upon cancellation, your data will remain accessible in read-only mode for 30 days, after which it will be permanently deleted (except billing records retained for 7 years as required by law).
6. Intellectual Property
The Platform, including all software, designs, trademarks, and content, is owned by Sponsor Complians Limited and protected by UK and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes during your subscription term.
7. Service Availability and SLAs
We target 99.9% uptime for the Platform. Scheduled maintenance will be communicated at least 48 hours in advance and performed during off-peak hours (02:00–06:00 GMT). We are not liable for downtime caused by third-party services, force majeure events, or circumstances beyond our reasonable control.
8. Limitation of Liability
To the maximum extent permitted by law, Sponsor Complians Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform.
Our total liability to you for any claim arising under these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Termination
We may suspend or terminate your access immediately if you breach these Terms, fail to pay subscription fees, or engage in conduct that we reasonably believe poses a security risk. You may cancel your subscription at any time, subject to the minimum contract term in Section 3.2.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to Terms
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
